DEFINITIONS
“Goods” means any goods and/or services provided or delivered by the Company as ordered by the Client

“Company” means The Garden Doctor Edinburgh Ltd.

“Client” means the person, or company placing an order with, or in receipt of goods and services from the Company.

APPLICATION
These terms and conditions apply to any provision of goods, services or materials by the Company to the Client.

FORMATION OF CONTRACT
All Goods sold by the Company are sold subject to the Company’s standard terms and conditions (as detailed herein). These terms and conditions form part of the Client’s contract with the Company. Any terms and conditions on the Client’s order form or other similar document shall not form part of the contract, and shall not be binding on the Company.

QUOTATIONS
The prices, quantities and delivery time stated in any quotation are not binding on the Company. They are commercial estimates only, which the Company will make reasonable efforts to achieve.

INCREASE IN QUOTATION
The Company reserves the right to increase a quotation in the event that the client requests, and the Company agrees, any material variation to the work agreed.

RISK OF LOSS
The risk of loss or damage to any Goods shall pass to the Client upon delivery.

PAYMENTS
The Client shall pay all invoices issued by the Company within seven days of the date of invoice unless otherwise agreed in writing by the Company. In the event of late payment, the Company may charge interest on the amount outstanding before and after decree at the rate of five percent above the ruling Base Rate of Barclays Bank plc. in force from the due date until the date of payment. In addition, invoices unpaid for more than 60 days after the invoice date will incur a surcharge of either £30 or 5% of the outstanding amount, whichever sum is greater.

If any amount of an invoice is disputed then the Client shall inform the Company of the grounds for such dispute within seven days of completion of any works. Once settlement of the dispute has been agreed, any sum then outstanding shall also be payable in accordance with these payment terms.

Payment should only be made when the client has inspected and is content with the work. Once payment is received then the Company shall assume that the contract has been completed.

CANCELLATION OF WORKS AND DEPOSITS
In view of the nature of the service, once agreed, any works may not be cancelled without cost and/or loss of any deposits paid. Cancellation by the Client will only be accepted on condition that any costs, charges and expenses already incurred, including any charges that may be be levied by a sub-contractor for any reason, will be reimbursed to the Company forthwith. Any deposits paid to the Company are non-refundable if any works are cancelled by the client within 60 days of the start date of the agreed works

CANCELLATION OF REGULAR MAINTENANCE
For regular maintenance clients, the minimum cancellation notice shall be 48 working day hours (i.e. Monday to Friday). Where 48 hours notice is not given then the client will be charged the full cost of the scheduled maintenance visit.

ACCESS
Where an agreement has been made for services to commence and access is not available due to the act or omission of the Client, the Company will attempt to carry out as much work as possible on the areas available. All charges previously agreed will be chargeable.

GOVERNING LAW
These Terms and Conditions of Trading shall be subject to and construed in accordance with the Laws of Scotland, and the parties hereby submit to the exclusive jurisdiction of the Scottish Courts.
